groceriesbasket accepts no liability for shipping or delivery delays. All stated delivery windows are estimated only and not guaranteed. We are not liable for hold-ups caused by courier carriers, customs clearance procedures or events outside our reasonable control.

Legal title to products and all risk of loss or damage transfers to you the moment we hand over goods to the selected shipping carrier.

The Services — including but not limited to all trademarks, brand names, written text, visual displays, photographs, graphics, customer reviews, video and audio content, alongside the design, selection and layout of such material — are owned by groceriesbasket, its affiliated entities or licensed partners. groceriesbasket’s online store and Services are hosted and powered by Shopify, which enables us to deliver the Services to you. However, all sales and purchase transactions completed via our store are conducted directly between you and groceriesbasket.

By using the Services, you acknowledge and agree that Shopify bears no responsibility for any aspect of transactions between you and groceriesbasket, including any injury, damage or loss resulting from products or services you purchase. You fully release Shopify and its affiliated companies from all claims, damages and legal liabilities arising out of or connected to your purchases and transactions with groceriesbasket.

SECTION 14 – AUTOMATED AGENT TERMS

This “Agent Terms” subsection applies if you deploy, permit, enable or cause any Automated Agent to access, use or interact with the Services. An “Agent” refers to any software program or third-party service that executes autonomous or semi-autonomous actions on behalf of an individual or legal entity, runs on user-owned devices and operates without continuous direct human supervision.

14.2 General Agent Restrictions

No Automated Agent may access, use or interact with the Services unless it fully self-identifies at all times and complies strictly with all requirements outlined in Clause 14.4. Furthermore, you must cease all Agent activity targeting the Services immediately if we issue a formal request to block such automated access.

14.3 Access Limitations for Agents

We may implement technical restrictions to limit or fully block Automated Agents from accessing and interacting with the Services, at our sole discretion.

14.4 Mandatory Agent Compliance Rules

All Automated Agents must satisfy the following requirements at all times:

Include clear identification within every HTTP/HTTPS request via the user-agent string in the format: Agent/[agent name], to explicitly signal that the request originates from an automated program;
Never conceal or disguise automated activity, including mimicking human browsing patterns or bypassing CAPTCHA and human-verification security measures;
Respond truthfully to all verification prompts designed to distinguish automated bot traffic from human users;
Not bypass, evade or circumvent any technical safeguards implemented to block, restrict or regulate Automated Agent access to the Services.

SECTION 15 – TERMINATION

We retain absolute discretion to terminate this contractual agreement or suspend/block your access to the whole or any part of the Services at any time without advance notice. You remain fully liable for all outstanding monetary charges accrued up to the effective date of termination.

The following clauses shall remain legally enforceable and survive full or partial termination of your access to the Services: Intellectual Property, User Feedback, Termination, Warranty Disclaimer, Limitation of Liability, Indemnification, Severability, Waiver & Entire Agreement, Assignment, Governing Law, Privacy Policy, alongside all other provisions whose inherent purpose requires them to remain in force post-termination.

We do not warrant the absolute accuracy, completeness or practical usefulness of any platform content. You rely on all information displayed on the Services entirely at your own risk. EXCEPT FOR EXPLICIT WRITTEN GUARANTEES PROVIDED BY groceriesbasket, THE SERVICES AND ALL PRODUCTS SOLD VIA THE PLATFORM ARE MADE AVAILABLE ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY DESCRIPTION — WHETHER EXPRESS OR IMPLIED. THIS INCLUDES ALL IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A SPECIFIC PURPOSE, DURABILITY, LEGAL TITLE AND NON-INFRINGEMENT.

We do not guarantee that your use of the Services will be uninterrupted, timely, secure or error-free. Certain legal jurisdictions prohibit or restrict the exclusion of implied warranties, meaning this full disclaimer provision may not apply to you in full.

SECTION 17 – LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER groceriesbasket, ITS BUSINESS PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATED COMPANIES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, NOR SHOPIFY AND ITS AFFILIATED ENTITIES SHALL BE HELD LIABLE FOR ANY PERSONAL INJURY, FINANCIAL LOSS, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND. THIS INCLUDES (BUT IS NOT LIMITED TO) LOST PROFITS, LOST REVENUE, MISSED SAVINGS, DATA LOSS, REPLACEMENT COSTS AND SIMILAR ECONOMIC HARM.

Such liability exclusions apply regardless of whether claims are founded on contract law, tort (including negligence), strict product liability or other legal grounds, and relate to:

Your use of the Services or any products purchased via the platform;
Any errors, omissions or inaccuracies within platform content;
All loss or damage incurred through accessing, viewing or purchasing goods and content published via the Services;

This liability cap remains enforceable even if we have been formally advised of the potential for such damages to occur.

You agree to indemnify, defend and hold groceriesbasket, Shopify, all respective affiliates, partners, officers, directors, staff, agents, contractors, licensors and service providers fully harmless against all losses, damages, legal liabilities, third-party claims and reasonable attorney fees arising out of:

Any violation by you of applicable local, national or international law, or the legal rights of any third party;

We will notify you promptly of any third-party claim triggering your indemnification obligations. A minor delay in notification shall not release you from indemnity liability unless you suffer material prejudice as a direct result of delayed notice.

We reserve the right to take full control over the legal defence and settlement negotiations of any indemnified claim at your sole expense, including the selection of legal counsel. We will not agree to any settlement requiring non-monetary commitments from you without your prior consent, which you may not withhold unreasonably. You are required to fully cooperate with all legal defence proceedings, including supplying all relevant supporting documentation upon request.

SECTION 19 – SEVERABILITY

If any single provision within these Terms of Service is ruled unlawful, void or unenforceable by a competent court or regulatory authority, that provision shall remain enforceable to the maximum extent allowed by applicable law. These Terms of Service, alongside all policies and operational rules published by us on this website governing the Services, constitute the complete and exclusive contractual agreement between you and groceriesbasket regarding your use of the platform. This document supersedes all prior or contemporaneous oral or written agreements, communications and proposals exchanged between both parties, including any earlier versions of these Terms of Service.
